Interactive Investor IFA terms

These terms should be read in conjunction with the Interactive Investor standard Terms & Conditions.

1 Definitions

The following words and expressions, when used in these Terms, have the meanings set out opposite them:

"Applicable Laws"
means all laws, rules and regulations applicable in England to Interactive Investor and/or the Intermediary.
"FSA"
means the Financial Services Authority.
"Interactive Investor" or "ii"
means Interactive Investor Trading Limited and the Capital Accumulation Limited group of companies trading through www.iii.co.uk and www.ifa.co.uk .
"Interactive Investor Funds Supermarket"
means the fund supermarket operated by Interactive Investor on which a range of Products are available for dealing at www.ifa.co.uk or www.iii.co.uk.
"Intermediary"
means an independent intermediary, discretionary asset manager, stockbroker or other professional adviser who accepts and deals under these Terms.
"Terms & Conditions"
means the full suite of terms as apply to Interactive Investor's dealings as posted on the ii website at www.iii.co.uk and www.ifa.co.uk as amended from time to time.

is a domain that forms part of the ii group

2 Application and Scope

  1. These Terms, which must be read in conjunction with the ii Terms & Conditions, are the only terms on which Interactive Investor will do business with the Intermediary. They are legally binding and they apply to any dealings which the Intermediary may carry out with or through Interactive Investor.
  2. These Terms shall come into effect immediately.
  3. These Terms are supplemented by the current documents governing or describing the various Products.
  4. Interactive Investor and the Intermediary each warrants to the other that it has all necessary authorisations, licences and permits to carry out transactions under these Terms, and undertakes to comply with all Applicable Laws.
  5. The Intermediary will notify Interactive Investor immediately if it receives notice that the FSA intends to or has suspended, cancelled, rejected or amended the Intermediary's authorisation. Interactive Investor will not accept business from an Intermediary who is not or ceases to be authorised by the FSA.
  6. Interactive Investor has the right, in its discretion and without giving reasons, to decline, to delay implementation of, or to withdraw from, any deal placed with it by the Intermediary. Unless agreed in advance between Interactive Investor and the Intermediary, Interactive Investor will not accept a deal placed on behalf of a client who is not resident in the countries defined in the Service Guide, or who is not able to invest in a Product under Applicable Laws.

3 Dealings and Settlement

  1. Instructions on how to deal and settle deals in Products are as defined and determined under our www.iii.co.uk offering.
  2. The Intermediary will supply Interactive Investor with any information which Interactive Investor may request in order to comply with Interactive Investor's obligations under any Applicable Laws on cancellation of deals.

4 Interactive Investor Funds Supermarket and other online facilities

  1. In order to gain access to Interactive Investor Funds Supermarket and certain other online facilities offered by Interactive Investor (including dealing facilities), the Intermediary must complete and accept the online Fund terms.
  2. Instructions on how to deal and settle deals in Products online and how to use Interactive Investor Funds Supermarket and the other online facilities can be found under Help.
  3. It is the Intermediary's responsibility to maintain equipment and software suitable for it to deal online and to use Interactive Investor Funds Supermarket and the other online facilities. The cost of the equipment and software, and of maintaining and updating it as necessary from time to time, must be met by the Intermediary.
  4. Subject to these Terms, Interactive Investor grants the Intermediary a nontransferable and non-exclusive licence to use Interactive Investor Funds Supermarket and other online facilities for the bona fide purposes of the Intermediary's business. This licence may be terminated or amended by Interactive Investor at any time.
  5. Interactive Investor may suspend or withdraw its web sites, Interactive Investor Funds Supermarket and any other online facilities at any time, and the Intermediary acknowledges that they are also subject to interruption for reasons beyond Interactive Investor's control. Interactive Investor is not liable for the consequences of any such suspension, withdrawal or interruption.
  6. Interactive Investor will permit the Intermediary to link from its web site(s) to web sites owned or maintained by Interactive Investor ("Interactive Investor sites") on the following basis (and subject to the rest of these Terms):

    1. Interactive Investor may withdraw or amend the permission at any time, in which case the Intermediary must remove or suitably amend its links to Interactive Investor Sites.
    2. The Intermediary must link only to such page or pages on Interactive Investor Sites as Interactive Investor may permit from time to time.
    3. The Intermediary must not frame, post, modify or alter the appearance of the Interactive Investor Sites in anyway.
    4. The Intermediary may not state or imply that Interactive Investor endorses, sponsors or otherwise approves of the Intermediary's web site.
    5. The Intermediary has sole responsibility for ensuring that its web site and the link to Interactive Investor Sites comply with all Applicable Laws in the United Kingdom and elsewhere.
    6. The Intermediary must keep its web site up-to-date and accurate in all material respects and must not include any material on its web site that is illegal, obscene, offensive, defamatory or otherwise inappropriate.

5 Agency; Intellectual Property

  1. The Intermediary will be the agent of its client in its dealings in relation to Products and for other matters relating to the holding of Products. The Intermediary has no right whatsoever to bind or to act on behalf of Interactive Investor. The Intermediary must not misrepresent its relationship with Interactive Investor in any way (such as by implying that it is an agent, affiliate or representative of Interactive Investor).
  2. The Intermediary must not use the Interactive Investor name or any logo, trademark or any other intellectual property of Interactive Investor without Interactive Investor's prior written permission.
  3. Information obtained from Interactive Investor by the Intermediary may only be used or reproduced for the bona fide purposes of the Intermediary's business, must be kept confidential except for those purposes, and is not the property of the Intermediary.

6 Money Laundering

The Intermediary will comply with all statutory and other requirements relating to money laundering, including Interactive Investor's anti-money laundering policy as set out in the Service Guide.

7 Data Protection

  1. Both the Intermediary and Interactive Investor will comply with the Data Protection Act 1998 ("the Act") and any regulations made under the Act in connection with these Terms and their performance hereunder.
  2. The Intermediary consents to Interactive Investor recording and monitoring telephone calls and emails.
  3. The Intermediary agrees that Interactive Investor will hold and use information relating to the Intermediary, its employees and consultants (which may include Personal Data for the purposes of the Act) for the purposes of setting up these terms and on-going administration and contact with the Intermediary.
  4. The Intermediary agrees that Interactive Investor may share such information with:

    1. its group companies in the course of business and for purposes connected with the Products; and
    2. appropriate regulatory authorities, including the FSA or as is required to be disclosed by any Applicable Laws;
    3. any third parties with whom Interactive Investor provides Products and services to its clients and the Intermediary. Such third parties will be as set out in the Service Guide, where applicable.
  5. Please note that the personal information which you provide will be processed by Interactive Investor or associated or affiliated companies. This may involve the transfer of data by electronic media including the internet. Where your data is transferred outside of the UK, Interactive Investor will ensure that the recipient agrees to keep your information confidential and hold it securely in accordance with the requirements of the Act.

8 Indemnity and Liability

  1. The Intermediary will indemnify and keep Interactive Investor indemnified against all losses, costs, damages or claims incurred by Interactive Investor directly or indirectly as a result of:

    1. any failure by the Intermediary to comply with any Applicable Laws; or
    2. the inaccuracy of any information, statement or instruction given to Interactive Investor by the Intermediary; or
    3. failure by the Intermediary or its client to settle any transaction in a Product, or delay in doing so; or
    4. any breach by the Intermediary of any of these Terms.
  2. Interactive Investor will only be liable to the Intermediary for losses arising directly as a result of negligence, fraud or wilful default by it or any of its employees or agents. In no event shall Interactive Investor be liable for special, indirect, incidental or consequential damages or losses. Interactive Investor is not responsible for the accuracy of information obtained from it by the Intermediary other than information prepared by Interactive Investor.
  3. In this clause, "Intermediary" includes the Intermediary's employees, directors, officers or agents.

9 Variation and Termination; Assignment; Documentation

  1. Interactive Investor has the right to vary these Terms at any time on giving 28 days' written notice to the Intermediary. In addition, Interactive Investor may terminate these Terms at any time on giving written notice to the Intermediary.
  2. The Intermediary is not entitled to sub-contract or transfer any of its rights and obligations under these Terms without the prior written consent of Interactive Investor.
  3. Interactive Investor may assign its rights and obligations under these Terms to any associated company on notice to the Intermediary.
  4. It is Interactive Investor's policy not to send marketing solicitations directly to Intermediaries' clients. However, Interactive Investor may from time to time have statutory or other obligations to send documentation directly to clients, and reserves the right to do this.

10 Governing Law

These Terms are governed by English law and the courts of England and Wales have exclusive jurisdiction to settle any dispute arising under these Terms. These Terms are issued Interactive Investor Investment Services Limited Authorised and regulated by the Financial Services Authority. Registered in England and Wales.

General Site Conditions

Introduction

Please read this carefully. By accessing the Site or registering on the Site you will be agreeing to these terms and conditions set out below (these "Terms").

If you do not understand any part of these Terms, please contact the Interactive Investor Contact Centre on 0845 8800 267.

Definitions

In these Terms the following words and expressions shall have the following meanings:

"Data Providers"
means those providers of Information and/or Information Services to us;
"FSA"
means the Financial Services Authority of 25 The North Colonnade, Canary Wharf, London E14 5HS or any successor or replacement authority responsible for regulating the investment business of Interactive Investor;
"FS&M Act"
the Financial Services and Markets Act 2000;
"FSA Rules"
means the rules of the FSA or any successor or replacement regulatory body responsible for the regulation of the investment business of Interactive Investor;
"Information"
means the database accessible via the Site and each and every piece of information provided through the Information Services;
"Information Services"
means one or more of the information services provided on or via the Site;
"Service Providers"
those third parties who support us in the provision of Information Services (including Data Providers);
"Site"
means our internet website located at www.iii.co.uk operated and maintained by us or our agents and/or such other websites as we may notify you from time to time;
"Subscription Services'"
certain Information Services which you must subscribe and pay a fee to view; and
"User name and Password"
the user name and password included on your registration form which is used by you to access the Site and Information Services.
  1. Parties

    'Interactive Investor, our, us or we'
    means Interactive Investor Trading Limited (trading as Interactive Investor) - which is an independent intermediary authorised and regulated by the FSA and its subsidiary companies and associated companies and its agents and employees and any person to which the rights and/or obligations of Interactive Investor Trading Limited are transferred or assigned.
    'you, your or yourself'
    means you, the person specified as the user in the registration form.
  2. The Services

    You wish to obtain access to one or more of our Information Services provided via the Site.

    In respect of the Information Services you receive, you will benefit from the protections afforded to retail clients under the FSA Rules and the FS&M Act and you may be entitled to claim under the Financial Services Compensation Scheme as set out in Clause 11 below.

    By using your User name and Password to access the Site and Information Services, you accept in full, these Terms and agree to comply with them in your use of the Site and the Information Services.

  3. Subscription Services

    Although most of the Information Services are available for free, there are some Subscription Services. We will inform you on the Site if the Information Service you are trying to access is not free and you will be given an opportunity to subscribe and pay for such Subscription Service.

    Where you have chosen a standard Subscription Service the payments will be deducted from the debit/credit card account that you have provided at the start of the subscription after any free trial period.

    Interactive Investor shall not be liable for loss caused directly or indirectly by any exchange or market ruling, government restriction, or any "force majeure" (e.g., flood, extraordinary weather conditions, earthquake or other act of God, fire, war, insurrection, riot, communications or power failure, equipment or software malfunction) or any other cause beyond the reasonable control of Interactive Investor and its Information Providers.

    Our Service and all of the Content and Information are provided "as is" without warranty of any kind. Interactive Investor and Information Providers expressly disclaim all warranties and conditions with regard to Our Service, the Content, and the Information, including, without limitation, all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement. By using Our Service, Content, and Information, you assume all of the risks associated with their use, and you release and agree to indemnify and hold harmless Interactive Investor and Information Providers from any and all liability, claims for damages, and losses arising from or connected with such risks.

    You agree that neither Interactive Investor nor the Information Providers shall have any liability, contingent or otherwise, for the truth, accuracy, completeness, timeliness, interruptions, omissions or correct sequencing of the Information or Content on Our Service, or for any decision made or action taken by you in reliance upon or interpretation of the Information or Content on Our Service. In no event shall Interactive Investor or the Information Providers be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of or in any way connected with (1) the use of Our Service, Content, or the Information; (2) the delay, interruption or inability to use any aspect of Our Service, Content or the Information; (3) any Information or Content obtained through Our Service; or (4) otherwise arising out of the use of Our Service, Content, or Information, whether based on contract, tort, strict liability or otherwise, even if Interactive Investor or Information Providers have been advised of the possibility of damages.

    Interactive Investor reserves the right at any time, in its discretion and without prior notice to you, to change, revise, modify, add, upgrade, remove or discontinue Our Service or Content or Information, in whole or in part. Interactive Investor may also impose limitations or restrictions upon and may revoke your access to and your use of Our Service, Content or Information, in whole or in part, without prior notice.

    Use of Our Service requires that you accept all cookies in order to activate special Web features and security mechanisms, and to enhance the performance of Our Service. While you browser may allow you to "reject" cookies, Our Service may require that you accept all cookies in order for its features and security mechanisms to function fully. Interactive Investor uses "cookies" on Web sites to service the account and keep trading activities secure. A "cookie" is an electronic note created by a web site and stored on your computer.

    Interactive Investor does not guarantee the accuracy of the information and data supplied by Information Providers. Interactive Investor is not responsible for the quality or reliability of this information. You acknowledge that commentary, analysis or similar materials may contain forward-looking statements and that any Content, Information, software, or tools may not account for or reflect fluctuations in interest rates or other economic conditions and changes.

    Interactive Investor Subscription Services are billed Monthly in advance on a non-refundable and non-transferable basis.

    Cancellation of Our Service can be affected by sending an email with the relevant account information to subscriptions@iii.co.uk . An email receipt response will be sent to you confirming cancellation of your service. No partial month refunds for product Service will be given.

    Billing

    You can query your account at any time by contacting the Interactive Investor Contact Centre on 0845 88 00 267 or via your Worldpay account which will be opened when you start subscribing to the service.

    If you are using a debit/credit card we will send you an email or write to you at our discretion one month before the expiry date on your credit card.

    If you do not respond within 10 days of sending the e-mail or letter, we reserve the right to suspend your access to the Subscription Service. Your access to the Subscription Service will be restored once we have received your new debit/credit card details.

    Should the debit/credit card details for any reasons, be turned down for payment, we will notify you by email and suspend access to the Subscription Service until such time as you inform us that we can resume drawing payments from a debit/credit card.

    We will take all reasonable care to ensure that your payment data is properly transmitted and kept secure.

    This agreement is defined as an Initial Service Agreement as defined by the Distance Marketing Directive 2004. This gives you the right to cancel within the first 14 days and receive a full refund of your Subscription payment. After 14 days, the contract continues as a successive operation.

    All Billing Assistance will be conducted by email. The Customer Contact Centre will be open business days Monday-Friday. Closed Weekends.

    If billing assistance is required, email subscriptions@iii.co.uk with an explanation regarding your enquiry.

    Technical/Product Support

    All Technical/Product Support will be conducted by email. The Customer Contact Centre will be open business days Monday-Friday. Closed Weekends.

    Termination & cancellation

    Cancellation of a Subscription Service can be made prior to 6pm on any business day by contacting the Interactive Investor Contact Centre on 0845 88 00 267 or emailing subscriptions@iii.co.uk . On cancellation of a Subscription Service the monthly billing will be terminated at the end of the next natural billing date and access to the Subscription Service will be terminated at that time.

    We may terminate these Terms and deactivate your access to the subscription service with immediate effect if you:

    1. fail to make any payments due to us;
    2. are in breach of any of these Terms;
    3. you do or fail to do any act which jeopardises the continuance of the Information Services; or
    4. breach any of the FSA Rules, the FS&M Act or any other applicable legislation.

    We will then be under no further obligation to you.

  4. Copyright and Your Rights

    Copyright and all other intellectual property rights subsisting in the Information is owned by us or our Data Providers, You may use the Information retrieved from the Site only for your own personal non-commercial use which means that you may not sell, resell, retransmit, use in the creation of an index linked or historical data product or otherwise make the Information retrieved from the Site available in any manner or on any media to any third party unless you have obtained our prior written consent.

  5. AFX As a Data Provider

    AFX News Ltd warrants that it is the owner of the entire copyright in the content which it provides as part of the Information Services (the "AFX Services") and has all necessary rights and licenses, particularly but not exclusively in respect of the London Stock Exchange's Regulatory News Service ("RNS") to offer the AFX Services.

    The AFX Services are to be used solely and exclusively by you in the location to which it is supplied and it shall not be communicated to any other party or parties by any means whatsoever without the written consent of AFX News Ltd. Re-distribution of all or part of the AFX Services by any means, electronic or otherwise, to persons or companies beyond those specifically covered by the annual subscription must be separately approved by AFX News Ltd in writing in advance of any such re-distribution activity.

    Neither AFX News Ltd nor its suppliers, if any, shall in any circumstances be liable whether in contract tort or otherwise for any consequential or indirect loss or damage or for any loss of profits or of contracts howsoever arising through negligence or otherwise and of whatsoever nature suffered or incurred directly or indirectly by you.

    AFX News Ltd reserves the right to introduce amendments to the form and content of the AFX Services from time to time in order to maintain the AFX Services and by adding content to improve the overall value. However, AFX News Ltd will not make any changes to the form of the AFX Services likely to affect your ability to use the AFX Services effectively or to deviate from the content by reducing coverage without giving appropriate notice.

  6. User Name and Password

    You are responsible for all use of the Site and the Information Services made using your User name and Password, whether or not the use is made by you or someone else using your User name and Password. You are responsible for protecting and securing your User name and Password from unauthorised use. By using the Site you also accept and are bound by our Security Policy.

    If you believe there has been a breach of security of your User name and Password you must immediately notify the Interactive Investor Contact Centre on 0845 88 00 267.

  7. Your Information

    Interactive Investor is registered under the Data Protection Act 1998. All personal information you supply to us will be treated in accordance with that Act. We will collect and use your personal information in order to operate, enhance and provide to you the Information Services you request.

    We will not pass your personal information on to any other person except to our Service Providers, where it is necessary, to enable us to provide you with the Information Services you request from us.

    You may edit your personal information held by us at any time and have your information deleted from our records if this Agreement is terminated. You will update your information if it changes.

    You agree that we may disclose to the FSA and to any other regulatory authority that is empowered to require such information by or under any legal enactment, any information they may request or require relating to you or our Information Services.

  8. Availability of the Site

    We reserve the right to change the content, presentation, performance, user facilities and availability of any part of the Site at our sole discretion.

    Changes to the Site will come into effect immediately on posting. We do not warrant any connection, transmission over, security of or results from the use of any network connection or facilities provided (or omitted to be provided) in connection with the Site and the Information Services.

    Transmission of information over the internet may be subject to arbitrary delays beyond our control which may delay the provision of the Information Services or access to the Site. You acknowledge and agree that we and our Service Providers shall not be liable to you or any third party for any costs, expenses or losses arising from such delays.

  9. Non-UK Access

    The Site has been issued and approved by us. Unless otherwise stated, the Site is chiefly directed at persons in the United Kingdom (this does not include the Channel Islands, the Isle of Man or the Overseas Territories of the United Kingdom) and may not be relied upon by any persons outside the United Kingdom.

    Nothing included in the Site constitutes an offer or solicitation to sell investments and related services to anyone in any jurisdiction outside the United Kingdom in which such offer, solicitation or distribution would be unlawful.

    Persons outside the United Kingdom may access the site but are prohibited from purchasing investment products or related services.

    None of the content on the Site constitutes any form of investment advice or recommendation by us.

  10. Risk Warning

    The Information Services and the Information are only for your general information and use and are not intended to address your particular requirements. In particular, the Information Services and the Information do not constitute any form of advice or recommendation by us and are not intended to be relied upon by you in making (or refraining to make) any specific investment or other decisions. Appropriate expert independent advice should be obtained before making any such decision.

    The value of investments and the income derived from them can go down as well as up, and you may not necessarily get back the amount you invested. Past performance of an investment is not necessarily a guide to its future performance. It may be difficult for you to sell or value certain investments or to obtain reliable information about their value or the extent of the risks to which they are exposed. Although carefully verified, data computations are not guaranteed by us or our Data Providers or affiliates and may not be complete. The value of investments may rise or fall due to the volatility of world markets, interest rates and capital values or, for investments held in overseas markets, changes in the rate of exchange in the currency in which the investments are denominated.

    Any arrangement made between you and any third party named in the Services is at your sole risk and responsibility.

  11. Complaints and Compensation

    If you are not satisfied with the level of service provided to you or believe we have made an error please contact our Compliance Manager on 0845 88 00 267 or please write to: Complaints, Interactive Investor Contact Centre, Crescent House, 46 Priestgate, Peterborough, Cambs, PE1 1AJ. We will investigate the nature of your complaint and try to resolve it. If we are unable to resolve any complaint to your satisfaction you may take your complaint to the Financial Ombudsman Service. In order to contact the Financial Ombudsman Service or obtain details of the Ombudsman Scheme you should write to the Financial Ombudsman Service at South Quay Plaza, 183 Marsh Wall, London E14 9SR or telephone 0845 080 1800. Making a complaint will not prejudice your right to take legal proceedings. If you make a valid claim against us and we are unable to meet our liabilities you may be entitled to compensation from the Financial Services Compensation Scheme, details of which can be requested from the Interactive Investor Contact Centre on 0845 88 00 267.

  12. Accuracy of Information

    Neither we nor any of our Data Providers or affiliates make any warranties express or implied, as to the accuracy, adequacy, quality or fitness for any particular purpose of the Site, the Information or the Information Services and all such warranties are expressly excluded to the fullest extent permitted by law.

    We, our Data Providers and affiliates, may or may not hold investments in the funds, management companies and/or brokerage firm securities referred to in the Information and Information Services.

    You bear all risks from any use or results of using any Information and Information Services. You are responsible for validating the integrity of any Information received over the Internet.

  13. Discussion Boards

    You may place Information on the Site. We do not monitor, approve, endorse or exert editorial control over information posted by users on the Site and do not therefore accept responsibility for or make any warranties in connection with or recommend that you or any third party rely on such information.

    By placing Information on the Site you agree to abide by these Terms and our Discussion Board Terms and you shall not post:

    1. any information or statement which is objectionable including, without limitation, information which is defamatory, obscene, threatening, untrue or in breach of any applicable laws, rules, regulations or market conventions (including, without limit, financial services legislation);
    2. any information or statement which is in breach of any person's rights (including without limitation, copyright and confidentiality);
    3. any information or software which contains a virus, cancelbot, Trojan horse, worm or is otherwise harmful to the integrity of the Site or other users; or
    4. any information, statement or content posted on the Site which constitutes an advertisement or a financial promotion.

    We reserve the right to remove any such information or statement from the Site without warning and to inform and give assistance to any investigative or regulatory body in respect of any content posted on the Site. We accept no responsibility for and give no warranties in connection with any information posted on the Site by users.

    We recommend that you do not rely on such information or statements. Any information posted on the Site by our users have not been issued or approved by us under the FSA Rules or other applicable financial services legislation.

    By allowing you to place Information on the Site or making available to other users any information, you hereby grant us a worldwide non-exclusive licence to use, copy, distribute, publish and transmit such information in any manner we wish (including, without limitation, archiving and making available such information or statement as part of the Information Services).

  14. Indemnity

    You irrevocably indemnify us and our Data Providers and affiliates from and against any and all losses, damages and costs suffered or incurred by us, any Data Providers or affiliates of whatsoever nature arising out of or in connection with your use, provision or distribution of Information, the Site, the Information Services or any part thereof or otherwise howsoever arising in relation to any breach of these Terms by you.

    As a provider of real-time streaming stock market data, we offers the means to acquire said data via its online tools and products. You are not permitted to utilise third party tools, applications or services that connect to, crawl, search, bot or stream from us.

    Such an indemnity shall not apply to any loss or liability to the extent that it arises or results from any contravention of the FSA Rules or of the FS&M Act by us, our Data Providers and affiliates. We reserve the right to take certain preventative or corrective actions against users who abuse the data, products and services provided.

  15. Hypertext Links

    We provide hypertext links to sites on the Internet which are operated by other people. Using an external hypertext link means that you may be leaving the Site and we therefore take no responsibility for and gives no warranties, guarantees or representations in respect of linked sites.

  16. Liability

    Due to the number of sources from which we obtain content and the nature of electronic distribution via the Internet neither we nor any of our Data Providers or affiliates accept any liability (whether in contract or tort) for any losses, costs or damages resulting from or related to use of or inability to use the Site or any of the Information Services to the fullest extent to which such liability may be excluded or avoided by law and in no event shall we be liable to you for lost profits or for indirect, incidental, special, punitive or consequential damages arising out of or in relation to the Site or the provision of the Information Services.

    We make no warranty that the Site and the Information Services are free from infection by viruses or anything else that has contaminating or destructive properties.

    This provision shall not exclude or restrict any duty or liability which we have in relation to you under the FSA Rules or any liability which we may incur under the FS&M Act or under the FSA Rules in respect of a breach of any such duty.

  17. Conflicts of Interest

    Your attention is drawn to the fact that in respect of the Information Services, we, a connected company or some other person connected with us may have an interest, relationship or arrangement that is material in relation to the investment or transaction concerned or could give rise to a conflict of interest (for example, we could be arranging transactions on behalf of or in the name of any company involved in the transaction or we may hold a position in the investment or a related investment) and you agree that we shall not be required to disclose it to you and that there will be no obligation to account to you for any profit provided we do not contravene the FSA Rules in relation to the transaction. Our employees are required to comply with a policy of independence and disregard any such interest, relationship or arrangement when providing investment services.

  18. Private Investors Only

    The Site and the Information Services (including Subscription Services) may not be used for commercial purposes whether directly or indirectly. In particular, by registering on the Site and using the Information Services you acknowledge and agree that all such usage shall be in your capacity as a private investor and not ,either directly or indirectly in your capacity as a portfolio manager, agent or financial adviser for another person.

    You are classed as a private investor if you meet all of the following criteria for the entire duration of your subscription.

    1. You are subscribing to the service in a personal capacity.
    2. You are not currently registered or qualified as a professional securities trader or investment adviser with any national or state exchange, regulatory authority, professional association or recognized professional body.
    3. You do not currently act in any capacity as an investment advisor.
    4. You use the service solely in relation to the management of your personal funds and not as a trader or an advisor to the public or to the investment of corporate funds.
    5. You do not distribute, republish or otherwise provide any data from the service to any third party in any manner.
  19. Assignment

    These Terms and the rights and obligations contained herein are personal to you and may not be assigned, licensed or transferred by you. We reserve the right to assign or transfer its rights and obligations under these Terms to:

    1. an appropriate company which is from time to time a subsidiary or holding company of Interactive Investor (subsidiary and holding companies have the meaning ascribed to them by Sections 736 and 736A of the Companies Act 1985); or
    2. any appropriate third party engaged in the provision of information services similar to those provided by us,

    on providing you with reasonable notice.

  20. Complete Agreement

    Where you use only the Information Services, these Terms together with the duly completed registration form and payment instructions (if any), the constitute whole agreement between you and us.

    If you use any other services on the Site such as our Trading Services, additional terms will also apply to you. You acknowledge that you have not agreed to these Terms in reliance upon any warranty or representation made by us.

    Due to our commitment to updating and improving the Site and the Information Services, we may from time to time make changes to these Terms and those payment rates which will be set out on the Site.

  21. General

    Any notice from us to you may be delivered by e-mail or post to you at your last known address. Evidence of posting (either electronically or otherwise) shall be taken as evidence of delivery.

    A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms, but this does not affect any right or remedy of any such person which exists or is available otherwise than as a consequence of that Act.

    This Agreement shall be construed in accordance with and governed by English law and the parties shall submit to the exclusive jurisdiction of the English courts.

    If any provision in these Terms is held to be illegal or unenforceable the validity and enforceability of the remainder shall continue in full force and effect.

    Failure by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.

    All disclaimers, indemnities and exclusions in these Terms shall survive termination of these Terms.

    Neither you nor we shall be held liable for any loss or failure to perform any obligation hereunder due to causes beyond your or their respective reasonable control.

    These Terms replace all other terms and conditions previously applicable to the use of the Site and the Information Services.
